Introduction
Welcome to the One Source platform.
These Terms and Conditions govern your use of the One Source website and application and all electronic services provided through the platform, including browsing, ordering, and purchasing products, paying for them, receiving them, and any related services.
By using the platform, creating an account, or completing any purchase order, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, which constitute a legally binding agreement between you and [Company Legal Name] (the "Company").
If you do not agree to any of these Terms, you must refrain from using the platform.
These Terms and Conditions are issued in both Arabic and English; in the event of any discrepancy between the two versions, the Arabic version shall prevail.
Article 1: Definitions
The following terms shall have the meanings set out opposite each of them, unless the context requires otherwise:

Platform: The website, application, or any electronic system operated by One Source.
Customer: Any natural or legal person who uses the platform, creates an account, or submits a purchase order.
Account: The electronic account registered in the Customer's name on the platform.
Order: A purchase order for products submitted by the Customer through the platform.
Products: All food, consumer, or other goods offered for sale through the platform.
Supplier: The party from which the Company sources the products. The Supplier is not a party to the contractual relationship between the Customer and the Company.
Delivery: The process of transporting the Order to the address specified by the Customer.
Business Days: The official working days observed in the Kingdom of Saudi Arabia, excluding official holidays.
Article 2: Scope of Service
One Source provides an electronic platform that enables customers to browse and purchase the available products and to complete payment and delivery in accordance with these Terms.
The Company may add, discontinue, or modify any service, product, or feature at any time without incurring any liability, and the Customer's continued use of the platform constitutes acceptance of such changes.
The Company does not guarantee the continuous availability of all products or services.
Article 3: Eligibility
Use of the platform requires the following:
- The Customer must have full legal capacity.
- All information provided must be true, accurate, and up to date.
- If the Customer represents a company or establishment, the Customer confirms holding the legal authority to conclude purchases on its behalf.
- The Customer bears full responsibility for the accuracy of the information provided.
The Company may suspend or cancel any account if the information proves inaccurate or if any unlawful use is identified.
Article 4: Account Creation
When creating an account, the Customer undertakes to:
- Provide accurate information.
- Maintain the confidentiality of the username and password.
- Refrain from sharing login credentials with any person.
- Update the information whenever it changes.
The Customer is responsible for all transactions carried out through the account, unless a technical breach attributable to the platform is proven.
In the event of any suspected unauthorized use, the Customer must notify the Company immediately.
Article 5: Use of the Platform
The Customer undertakes to use the platform lawfully and to refrain from any of the following:
- Providing false information.
- Creating fictitious accounts.
- Attempting to hack or breach the platform.
- Disrupting or interfering with the platform's systems.
- Using any software or automated means to extract data.
- Exploiting technical or pricing errors.
- Republishing or copying the platform's content without the Company's consent.
- Using the platform in a manner that harms the Company or its customers.
The Company may take whatever measures it deems appropriate, including suspending the account, cancelling orders, or claiming compensation for any damages.
Article 6: Products and Prices
The Company endeavors to display accurate product information; however, certain details may change as a result of updates by suppliers or manufacturers. Accordingly:
- Displayed images are for illustrative purposes only.
- Packaging, design, country of origin, or package size may vary while the product remains compliant with its essential specifications.
- Packaging may be replaced with a newer version issued by the manufacturer.
- Prices are subject to change at any time prior to order confirmation.
- In the event of a technical or human error in the price, description, or availability, the Company may cancel the order or contact the Customer to confirm proceeding at the correct price, without any liability.
Article 7: Order Submission and Acceptance
Submission of an order by the Customer constitutes an offer to purchase and does not amount to final acceptance by the Company.
The Company may accept, reject, or cancel an order, in whole or in part, at any time prior to delivery, including but not limited to the following cases:
- Unavailability of the product.
- A pricing error.
- Suspected fraudulent activity.
- Inability to verify the Customer's information.
- Operational or logistical constraints.
- Any legitimate reason the Company deems necessary.
If an order is cancelled after payment, the amount will be refunded through the payment method used or to the electronic wallet, as permitted by the applicable regulations and payment methods.
The Company may set a minimum or maximum quantity that may be purchased per customer or per order whenever it deems appropriate.
Article 8: Delivery
- The Company exercises reasonable care to deliver orders within the estimated timeframe communicated to the Customer; however, all delivery times are estimates and do not constitute a binding commitment.
- Delivery times may be affected by factors beyond the Company's control, including weather conditions, traffic congestion, technical failures, decisions of the competent authorities, or operational circumstances.
- The Customer must provide a correct and complete address and bears responsibility for any delay, additional costs, or failure of delivery resulting from inaccurate address or contact details.
- The Customer, or a person legally authorized by the Customer, must be present at the delivery location to receive the order.
- If delivery cannot be completed due to the Customer's absence, refusal to receive the order, or inability to reach the Customer, the Company may reschedule the delivery, cancel the order, or charge the Customer any additional fees incurred as a result, depending on the status of the order.
- The Company may split an order and deliver the products in more than one shipment where operational circumstances so require, without any liability.
Article 9: Order Receipt and Product Inspection
- The Customer, or their representative, must inspect the order upon receipt and verify — to the extent possible — the quantity and apparent condition of the products before completing receipt.
- Receiving the order without recording any remark or objection at the time of delivery constitutes an acknowledgment by the Customer that the products were received in apparent sound condition and in the quantities stated in the order.
- In the event of an apparent shortage, apparent damage, or a product discrepancy, the delivery representative or customer service must be notified immediately, or within the period specified by the Company according to the nature of the product, together with supporting evidence where requested.
Article 10: Food Products
- The Company exercises reasonable care to ensure that products are stored and transported in accordance with the requirements appropriate to each category.
- Certain products are subject to natural variation in weight, size, or shape — particularly fresh products — and such variation is deemed acceptable provided it remains within customary commercial limits.
Article 11: Cancellation and Modification
- The Customer may request to modify or cancel an order before its preparation begins; acceptance of such a request is subject to the Company's discretion and the status of the order.
- Once the order has entered preparation, packing, or shipping, modification or cancellation may no longer be possible, and the Company may decline the request or apply the actual costs incurred.
- If a product cannot be supplied, the Company may: (a) remove the product and refund its value; (b) propose an alternative subject to the Customer's approval; or (c) cancel the order in whole or in part.
- The Company bears no liability for the unavailability of any product.
Article 12: Returns and Exchanges
- Return and exchange requests are subject to the nature and condition of the product and the applicable regulations.
- Perishable, chilled, frozen, opened, or used food products may not be returned or exchanged, unless the return is due to an error by the Company or a defect in the product, or where the applicable regulations provide otherwise.
- Where a return is possible, the product must be in its original condition with all its accessories and packaging in order for the return request to be accepted.
- The Company may request photographs or any information necessary to verify the claim before approving it.
- Refunds are made through the same payment method where possible, or through any other method permitted by the applicable regulations and payment service providers.
Article 13: Prices and Payment
- All displayed prices are subject to update prior to order confirmation.
- The Customer must pay the value of the order using the approved payment methods.
- Payment alone does not constitute final acceptance of the order.
- In the event of a technical error in calculating the price, the order value, or the discounts, the Company may correct the error or cancel the order and refund any amounts collected in excess.
- The Company bears no responsibility for any fees imposed on the Customer by a bank or payment service provider.
Article 14: Offers and Coupons
- All offers, discounts, and coupons are subject to the specific terms of each offer.
- The Company may modify or discontinue any offer at any time, unless the Customer has already completed the order in accordance with the terms of the offer.
- The Company may cancel any discount or coupon where misuse, circumvention of its terms, or the use of unlawful means to obtain it is identified.
- Coupons and discounts may not be exchanged for cash unless the Company expressly provides otherwise.
Article 15: Limitation of Liability
- The Company exercises reasonable care to provide its services in line with best commercial practices; however, it does not warrant that the platform or the services will be free from interruption, technical failures, or delays caused by circumstances beyond its control.
- The Company shall not be liable for any indirect, consequential, or incidental losses, damages, or costs, including loss of profits, business interruption, loss of business opportunities, or loss of data.
- In all cases, the Company's liability — where established — shall be limited to the value of the product or the order that is the subject of the claim.
- The Company bears no liability for damages resulting from misuse of the products, or from their use, storage, or preservation in a manner contrary to the manufacturer's instructions, or after responsibility for their preservation has passed to the Customer.
Article 16: Force Majeure
- The Company shall not be liable for any delay or failure in performing its obligations where this arises from circumstances beyond its control.
- Force majeure events include, without limitation: natural disasters, rain and floods, fires, epidemics, power or telecommunications outages, cyberattacks, general technical failures, road closures, governmental decisions or instructions, or any similar circumstance.
- In such cases, the Company may suspend the performance of the service, extend the performance timelines, or cancel the order as circumstances require, without incurring any liability.
Article 17: Accounts and Service Suspension
- The Company may suspend, restrict, or cancel any account, temporarily or permanently, where it determines, on reasonable grounds, that these Terms or the applicable regulations have been violated, or that there is activity suspected of being fraudulent or of threatening the security of the platform or its users.
- The Company may also decline to provide the service or execute any order where it considers this necessary to protect the platform, its customers, or its legitimate interests.
- Suspension or cancellation of an account does not extinguish any obligations or amounts due prior to the date of suspension or cancellation.
Article 18: Platform Misuse
The Customer undertakes to refrain from the following:
- Using the platform for any unlawful purpose.
- Creating more than one account to circumvent offers or restrictions.
- Exploiting software or pricing errors.
- Using automated means or software to extract platform data.
- Publishing any offensive, misleading, or unlawful content.
The Company may take all legal measures necessary to protect its rights, including suspending the account, cancelling orders, or claiming compensation.
Article 19: Intellectual Property
- All rights relating to the platform — including the trade name, trademarks, logos, designs, software, databases, content, images, and texts — are owned by the Company or its licensors and are protected under the applicable regulations.
- No part of the platform or its content may be copied, reproduced, published, modified, or distributed without the Company's prior written consent.
Article 20: Data and Privacy
- The Company handles personal data in accordance with the regulations applicable in the Kingdom of Saudi Arabia.
- The Customer consents to the Company's collection, processing, and use of the data necessary to provide the services, operate and improve the platform, and comply with regulatory obligations.
- The Company may engage service providers or technical partners to process data to the extent necessary to provide the service, in compliance with the relevant regulations and controls.
- The processing of personal data is further governed by the platform's Privacy Policy, which forms an integral part of these Terms and Conditions.
Article 21: Notices and Communications
- All notices and messages sent via the application, email, text messages, or the communication channels registered in the Customer's account are deemed valid notifications producing their legal effects.
- The Customer must keep their contact details up to date, and the Company bears no responsibility for the non-receipt of notices due to outdated details.
- Customers may contact the Company through the official channels indicated in the application or on the website, and the Company will exercise reasonable care to address inquiries and complaints within appropriate timeframes according to the nature of each case.
Article 22: Indemnification
The Customer shall indemnify the Company for any losses, damages, claims, costs, or expenses arising from the Customer's breach of these Terms, misuse of the platform, infringement of the rights of third parties, or violation of the applicable regulations, to the extent permitted by law.
Article 23: Amendments to the Terms and Conditions
The Company may amend these Terms and Conditions from time to time in line with business requirements or the applicable regulations. Any amendment takes effect from the date of its publication on the platform or from the date specified therein, and the Customer's continued use of the platform after the publication of the amendments constitutes acceptance thereof.
Article 24: Severability
If any provision of these Terms is found to be invalid or unenforceable under the applicable regulations, this shall not affect the validity or enforceability of the remaining provisions, which shall remain valid and binding to the extent permitted by law.
Article 25: No Waiver
The Company's failure to exercise, or delay in exercising, any right shall not constitute a waiver of that right, and the Company may exercise it at any time as permitted by the applicable regulations.
Article 26: Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, and the competent courts in the Kingdom of Saudi Arabia shall have jurisdiction over any dispute arising out of or in connection with them.
